CONFIDENTIALITY AND PROTECTION OF PERSONAL DATA
CONFIDENTIAL INFORMATION
Confidential information shall be deemed as any information or data, whether or not it has been drawn up in hard or soft copy or in any other form that is already in use or that could be invented in the future, which PAXIMUM notifies or provides to the CLIENT, or that the latter may have access to with or without the knowledge and/or express consent of PAXIMUM.
Confidential information includes but is not limited to:

Databases and prototypes created from the documents provided,

Proprietary management software,

Computer system passwords,
-
User information, telephone numbers, fax numbers, email addresses,
-
Addresses of offices, agencies, departments, headquarters,
-
Computer programs, copies, routines, sources, functional and organisational analysis,
-
Know-how, formulae, processes, ideas, inventions (whether patentable or not),
-
Financial data, development plans, strategies,
-
Bid contents and supporting documents, data or material belonging to PAXIMUM or available on its website.
Confidential information does not include:

Publicly known information unless it becomes public due to a breach of agreement,

Information or know-how provided by third parties,
-
Information disclosure required by law or court order,
-
Economic or administrative data required by tax, labour authorities, or administrative contracts.
NON-DISCLOSURE
Total or partial disclosure of any confidential information accessed by the CLIENT to any third party is expressly prohibited.
The CLIENT guarantees that its:
...will comply with these confidentiality obligations.
The CLIENT is responsible for adopting all necessary measures to ensure compliance and is liable for any claims or damages arising from non-compliance.
The CLIENT undertakes to maintain confidentiality from the signing date of this agreement and thereafter, regardless of the status of the business relationship.
If the CLIENT or its affiliates develop any invention, innovation, discovery, computer program, process, or technique from accessing the confidential information, the CLIENT agrees to assign all rights to PAXIMUM.
BREACH OF CONFIDENTIALITY CLAUSES
Aside from obligations under the personal data protection clause and compensating for any losses or damages, any breach of these confidentiality obligations will require the CLIENT to pay an additional amount to PAXIMUM, the specifics of which will be determined subsequently.
ACCESS TO PERSONAL DATA
If PAXIMUM requires access to personal data necessary for service provision:

Both parties shall comply with European Directives 95/46, 2002/58, or any successor legislation (PDPR).

The CLIENT warrants it has obtained all necessary consents for transferring personal data to PAXIMUM.

PAXIMUM is authorized to transfer such data further to fulfill service requests.
Data processed by PAXIMUM will comply strictly with PDPR requirements. The CLIENT commits to providing accurate, up-to-date information.
Both parties commit to:

Maintaining professional secrecy, even post-contract termination.

Ensuring technical and organizational security measures against data alteration, loss, misuse, or unauthorized access.

For access, correction, deletion, or objection requests regarding personal data:
PAXIMUM and CLIENT COMMITMENTS WHEN ACCESSING PERSONAL DATA:

Implement legal technical and organizational security measures.

Use data solely for agreed services and purposes.

Not disclose data to third parties, even for safekeeping, nor replicate or copy it.

Allow data access only to personnel necessary for service delivery.

Destroy or return all personal data and supporting materials after service completion, without retaining copies.
The CLIENT authorizes PAXIMUM to disclose the final consumer's information to third parties strictly to complete reservations and related administration.
Where services occur outside the EEA or the US-EU Safe Harbor Framework, CLIENT explicitly consents to data transfers to countries lacking comparable data protection.
PAXIMUM will not disclose data to anyone unrelated to travel arrangements.
If the CLIENT or its representatives breach these terms, the CLIENT accepts full liability, including any administrative sanctions, legal fees, or professional costs incurred by PAXIMUM. Such breaches also constitute just cause for terminating services.
